1. Acceptance of Terms
Welcome to Invoiceitt. By accessing or using our invoice management platform, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using this service.
These terms constitute a legally binding agreement between you and Invoiceitt. Please read them carefully before using our service.
We reserve the right to modify these terms at any time. We will notify you of significant changes via email or through a prominent notice on our service at least 15 days before the changes take effect. Your continued use of the service after changes are posted constitutes acceptance of the modified terms.
2. Definitions
In these Terms of Service:
- "Service" refers to the Invoiceitt platform, website, and all related applications
- "User," "You," "Your" refers to the individual or entity accessing or using the Service
- "We," "Us," "Our" refers to Invoiceitt
- "Content" refers to invoices, client data, business information, and any other data you create or upload
- "Invoice Recipients" refers to clients or third parties who receive invoices you create
3. Description of Service
Invoiceitt provides an online invoice management platform that allows users to:
- Create and customize professional invoices
- Generate UPI QR codes for payments
- Send invoices via email or shareable links
- Track invoice status (draft, sent, paid)
- Manage client and business information
- Generate and download PDF documents
- Add GST and tax information to invoices
Important: Invoiceitt is an invoice generation tool only. We do not process payments, handle money, or act as a payment gateway. All financial transactions occur directly between you and your clients through your bank, UPI provider, or other payment methods.
4. User Accounts
4.1 Account Registration
To use our service, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information as needed
- Keep your password secure and confidential
- Use a strong password with at least 8 characters
- Notify us immediately of any unauthorized access
- Be responsible for all activities under your account
4.2 Account Eligibility
You must be at least 18 years old to use this service. By creating an account, you represent that you are of legal age and have the legal capacity and authority to enter into this agreement. If you are registering on behalf of a business entity, you represent that you have the authority to bind that entity to these terms.
4.3 One Account Per User
Each user may maintain only one account. Creating multiple accounts to circumvent limits or abuse our service is prohibited and may result in termination of all accounts.
4.4 Account Termination
We reserve the right to suspend or terminate your account at any time for violation of these terms, fraudulent activity, abusive behavior, or any other reason we deem necessary to protect our service and users. You may also delete your account at any time through the settings page. Upon deletion, your data will be handled as described in our Privacy Policy.
5. Acceptable Use
You agree to use Invoiceitt only for lawful business purposes. You must not:
- Use the service for any illegal or fraudulent activities
- Create fake, misleading, or fraudulent invoices
- Misrepresent transactions, amounts, or business details
- Use the service for money laundering or tax evasion
- Attempt to gain unauthorized access to our systems or other users' accounts
- Upload malicious code, viruses, or any harmful software
- Use automated systems (bots, scrapers) to access the service without permission
- Reverse engineer, decompile, or disassemble any part of the service
- Send spam, unsolicited communications, or abuse our email features
- Use our service to harass, abuse, or harm others
- Violate any applicable laws, regulations, or third-party rights
- Impersonate another person or business
Violation of these rules may result in immediate account suspension or termination without refund.
6. Payment Information and UPI
6.1 Your Payment Details
You may add your UPI ID and bank account details to your profile. This information is displayed on your invoices to facilitate payments from your clients. You are solely responsible for:
- Ensuring your UPI ID and bank details are accurate
- Verifying that payments are received in your account
- Any errors or issues arising from incorrect payment information
6.2 No Payment Processing
Invoiceitt does not:
- Process, hold, or transfer any money
- Act as a payment gateway or financial intermediary
- Have access to your UPI PIN, bank password, or OTPs
- Guarantee that your clients will pay their invoices
- Bear any responsibility for failed, delayed, or disputed payments
All payment transactions are conducted directly between you and your clients through UPI apps, bank transfers, or other payment methods outside of our platform.
7. Public Invoice Pages
When you send an invoice, a unique public link is generated. You acknowledge and agree that:
- Anyone with the link can view the invoice without logging in
- The invoice displays your business details, client information, and payment details
- Public invoice pages may be indexed by search engines
- You are responsible for sharing links only with intended recipients
- You can delete an invoice to remove its public page
We are not responsible for any unauthorized access to your invoices if you share the link publicly or with unintended parties.
8. Pricing and Billing
8.1 Free Tier
We currently offer a free tier that allows you to create and send invoices. Free tier features and limits are subject to change at our discretion. We will provide reasonable notice before any significant changes to free tier limitations.
8.2 Paid Plans (Future)
We may introduce paid plans in the future with additional features and higher usage limits. If you subscribe to a paid plan, you agree to:
- Pay all fees associated with your chosen plan
- Provide valid payment information
- Authorize recurring billing as applicable
- Pay applicable taxes (including GST)
8.3 Refunds
For paid plans, all payments are non-refundable except as required by law. You may cancel your subscription at any time, but you will retain access until the end of your current billing period and will not receive a prorated refund.
9. GST and Tax Compliance
Invoiceitt allows you to add GST numbers and tax rates to your invoices. However:
- You are solely responsible for the accuracy of GST numbers, tax rates, and tax calculations on your invoices
- Invoiceitt does not verify GST numbers or validate tax compliance
- We do not file GST returns or submit any tax documents on your behalf
- You should consult a qualified tax professional or Chartered Accountant for tax advice
- You are responsible for maintaining proper records as required by tax authorities
Tax Disclaimer: Invoiceitt is not a tax advisory service. The invoices generated are for your convenience only. Always verify calculations and consult a CA or tax professional for GST compliance and filing requirements.
10. Intellectual Property
10.1 Our Rights
Invoiceitt, its design, logos, features, source code, and all related content are owned by us and protected by intellectual property laws including copyright and trademark laws. You may not copy, modify, distribute, sell, or create derivative works without our express written permission.
10.2 Your Content
You retain ownership of all content you create (invoices, client data, business information, logos). By using our service, you grant us a limited, non-exclusive license to:
- Store and process your content to provide the service
- Display your content to you and recipients of your invoices
- Create backups and ensure data integrity
- Generate aggregated, anonymized statistics (without identifying you or your clients)
This license ends when you delete your content or close your account, except for backup copies which are deleted according to our retention policy.
11. Third-Party Services
Our service may integrate with or link to third-party services such as:
- Email service providers (for sending invoices)
- UPI and payment apps (for receiving payments)
- WhatsApp (for sharing invoice links)
- Cloud infrastructure providers
Your use of these third-party services is subject to their respective terms and conditions and privacy policies. We are not responsible for the actions, content, or policies of third-party services. Any issues with third-party services should be directed to those providers.
12. Data and Privacy
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using this service, you also agree to our Privacy Policy.
You are responsible for:
- Ensuring that any client data you upload complies with applicable privacy laws
- Obtaining necessary consents from your clients before adding their personal information
- Informing your clients that their data will be processed through our service
13. Data Export and Portability
You have the right to export your data at any time. You can download individual invoices as PDF files. If you need a complete export of your data, contact us at billing@invoiceitt.com and we will provide your data in a machine-readable format within 30 days.
14. Disclaimers and Limitations
14.1 Service Availability
We strive to provide reliable service, but we do not guarantee uninterrupted or error-free operation. The service is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied. We may perform scheduled maintenance with advance notice when possible.
14.2 No Warranty
To the maximum extent permitted by law, we disclaim all warranties, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy. We do not warrant that the service will meet your requirements or expectations.
14.3 Financial and Tax Disclaimer
Invoiceitt is a tool for creating invoices and is not a financial or tax advisory service. We are not responsible for:
- The accuracy of calculations (you should verify all amounts)
- Tax compliance (consult a Chartered Accountant for GST and tax matters)
- Payment disputes between you and your clients
- Non-payment or delayed payment by your clients
- Lost revenue due to service downtime or errors
- Any financial decisions you make based on information in our service
14.4 Limitation of Liability
To the maximum extent permitted by applicable law, Invoiceitt and its operators, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the service, including but not limited to loss of profits, data, business opportunities, or goodwill. Our total aggregate liability shall not exceed the amount you paid us in the past 12 months, or ₹1,000, whichever is greater.
15. Indemnification
You agree to indemnify, defend, and hold harmless Invoiceitt, its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, or expenses (including reasonable legal fees) arising from:
- Your violation of these Terms of Service
- Your violation of any law or third-party rights
- Your use or misuse of the service
- Content you create, upload, or share through the service
- Disputes with your clients related to invoices
- Your failure to comply with tax or regulatory requirements
- Any inaccurate information you provide
16. Force Majeure
We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to: natural disasters, war, terrorism, riots, government actions, power outages, internet service provider failures, cyberattacks, pandemics, or other similar events. In such cases, our obligations will be suspended for the duration of the force majeure event.
17. Governing Law and Disputes
17.1 Governing Law
These Terms of Service are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.
17.2 Dispute Resolution
Before filing any legal claim, you agree to first contact us at billing@invoiceitt.com to attempt to resolve the dispute informally. We will make good faith efforts to resolve any dispute within 30 days.
If informal resolution fails, any disputes arising from these terms or your use of the service shall be subject to the exclusive jurisdiction of the courts in Bangalore, Karnataka, India.
18. Changes to Service
We reserve the right to modify, update, suspend, or discontinue any part of the service at any time. We will provide reasonable notice for significant changes that materially affect your use of the service. We may also impose limits on certain features or restrict access to parts of the service. We are not liable to you or any third party for any modification, suspension, or discontinuation of the service.
19. Electronic Communications
By using our service and providing your email address, you consent to receive electronic communications from us, including service announcements, administrative messages, and (if you opt-in) marketing communications. You agree that all agreements, notices, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.
20. Severability
If any provision of these terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect. The invalid provision will be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
21. Waiver
Our failure to enforce any right or provision of these terms shall not constitute a waiver of that right or provision. Any waiver of any provision of these terms will be effective only if in writing and signed by us.
22. Assignment
You may not assign or transfer your rights or obligations under these terms without our prior written consent. We may assign our rights and obligations under these terms without restriction, including in connection with a merger, acquisition, or sale of assets.

24. Entire Agreement
These Terms of Service, together with our Privacy Policy, constitute the entire agreement between you and Invoiceitt regarding your use of the service. These terms supersede all prior agreements, representations, and understandings, whether written or oral, relating to the subject matter herein.
